The Board of Advisors at Emmanuel Bible College and Seminary who are appointed by and serves at
the pleasurer of Chancellor, President and Chief Executive Officer plays a vital role in providing
counsel, guidance, and strategic direction to the administration and leadership of the institution. The
Board’s collective experience and expertise serve as a resource for decision-making processes and
institutional growth. Their primary responsibilities include:
1. Strategic Counsel: Advising the administration on the college's vision, mission, and long-term strategic plans. This includes providing insights on educational direction, curriculum development, and overall institutional priorities.
2. Financial and Fundraising Support: Assisting in identifying and securing funding sources to support the financial health and sustainability of the institution. This includes promoting fundraising initiatives, cultivating donor relationships, and advising on fiscal management practices.
3. Advocacy and Networking: Serving as advocates for Emmanuel Bible College and Seminary within their professional and personal networks. This involves helping to build the institution’s reputation and credibility, and connecting the administration with potential partners, supporters, and resources.

Qualifications for Nominees
Age and Character: Candidates must be at least 21 years old and possess a reputable, verifiable character.
Leadership Experience: They should be mature Christians actively involved in church or community leadership.
Competence: Nominees must be competent to fulfill the responsibilities of a trustee.
Commitment: A willingness to embrace and support the institution’s doctrine, ethos, and mission annually.

The Board seeks to include individuals of various genders, cultures, denominations, ethnicities,
experiences, and professional backgrounds, reflecting a broad range of perspectives within the governance of
the institution.

Advisor Roles & Responsibilities
Roles of an Advisor
As effective members of the Board, advisors individually have a duty to:
Serve as an advocate for higher education and for EBCAS, helping to raise the profile of the institution.
Ensure that the Mission of the institution is kept current and is aligned with public purposes.
Maintain a thorough understanding of economic trends and social needs within society and their potential impact on higher education.
Provides specialized advice regarding curriculum development, program expansion and institutional improvement and offer recommendations to ensure that the
college stays relevant and competitive.
Exercise judgement in a manner that builds consensus toward the greater good of EBCAS, respecting differing points of view, balancing conflicting priorities and supporting majority action even when in disagreement.
Serve in a manner that upholds the ethical standards of a Godfearing Christian.
Conduct the board’s business with the appropriate decorum in an exemplary fashion and with appropriate transparency, adhering to the highest ethical standards and complying with applicable open-meeting and public-records laws.
Support fundraising and other development efforts and serve as a liaison between the Christian and business communities, social and service organizations and EBCAS alumni association.
Comply with the letter and spirit of the Board’s conflict of interest policies and practice.
Membership and Officers of Board of Advisors
The size of the Board will be at the discretion of the Chancellor. The Board shall be composed of a minimum of 4 members and a maximum of 7.

The first three positions listed shall comprise the Officers of the Board of Advisors: Chair, Vice-Chair and Secretary.
Duties of the Board of Advisors
I. Duties of Board of Advisor Officers
Chair
The Board Chair presides over the Board, chairs the Executive Committee, and is an ex officio
member of all standing committees. He/she is responsible for appointing the chair and members of
the standing committees and shall perform all duties assigned to such office, including, but not limited
to, preparation of Board meeting agendas.
Vice-Chair
The Board Vice-Chair shall perform duties as delegated by the Chair. In the absence of the Chair or if
the chair is unable or unwilling to perform his/her duties, he/she shall perform all duties of the Chair.
The Vice-Chair shall perform his/her duty until a new Chair is selected.
Secretary
The Board Secretary shall be responsible for the giving of proper notice of all meetings of the Board
of Advisors and the keeping a record of the appointment of all committees of the Board. The Secretary
shall be responsible for recording and preserving the minutes of all meetings of the Board and
Special Committees. The Secretary will be responsible for maintaining all documents committed to
the care of the Board.
II. Duties of Board of Advisor Members
Advisors shall be dedicated Christians whose godliness, honesty and wisdom will enable them to
contribute to the governance of the corporate mission. Any person selected for an Advisor position
shall fully embrace and adhere to the College/Seminary’s Doctrinal statements. Each appointed
Advisor will acknowledge annually, by signature, their understanding of the importance of and
willingness to adhere to these statements. Advisors may not have a conflict of interest in serving on
the Board that results in financial or other personal advantage.
Advisors shall also participate in the financial support of the Seminary and encourage others to do the
same.
